Standard Terms And Conditions

The following terms are used:

• "our", "us" and "we" means Cyberspace Systems Limited
• "you" and "your" means the client
• "services" means websites or software solutions delivered by Cyberspace Systems Limited

Client Acceptance And Signoff

You will have 7 days from the deployment date to formally accept the services, or to notify our Project Manager (in writing) of any problems. If the formal acceptance is not executed within 7 days and no written communication on the subject is received, we will consider the services to have been accepted, by default.

Upgrades And Support

We do not guarantee upward compatibility of services with any future releases of related hardware or software. However, if in future, you wish us to assist with upgrading the services (on a time-and-materials basis) we shall be willing to provide estimates for such work. Once your acceptance period has expired, we do not provide any formal support for the services. We may be willing to provide ad-hoc consulting and telephone support on a time-and-materials basis. If you contemplate applying new releases or fixes of related hardware or software, performing an upgrade or changing any services made by us, please contact us and we will be happy to give advice and undertake any necessary analysis or programming on a chargeable basis.

Price And Payment Terms

Estimates are only valid in writing and during the period that they state. If unstated, the period is 28 days. Payment will be made before deployment of the services or, if agreed, within 28 days of the invoice date. We may suspend the functionality of the services until payment in full has been received. If payment is late, 2% above the minimum lending rate on the late amount and the costs of recovery shall be payable.

Title

Title of all services remains with us until payment in full has been received.

Modification

We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new Agreement on our site. Your continued participation now, or within twenty eight (28) days following the posting notice of any changes in these terms and conditions, will constitute a binding acceptance by you of such rules, changes or modifications.

Relationship Of Parties

Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship.

Limitation Of Liability

We will not be liable for indirect, special or consequential damages (or any loss of revenue, profits or data) arising in connection with any of the services provided.

Miscellaneous

You acknowledge that you have read this Agreement and agree to all its terms and conditions.
